These Terms and Conditions (“Agreement”) govern the relationship between Ayocom (“Platform,” “We,” “Us”) and you, the Vendor (“You,” “Your”) who registers to sell products on Ayocom’s e-commerce platform in the UAE and Nigeria. By registering as a vendor, you agree to the following terms:
1. Vendor Registration & Eligibility
- Vendors must provide a valid Trade License (for businesses) or valid ID (for individuals).
- All information provided during registration must be accurate and up to date.
- Ayocom reserves the right to approve or reject vendor applications at its discretion.
2. Product Listings & Quality
- Vendors are responsible for providing accurate product details, pricing, and clear images.
- All products must be genuine, new, and of good quality (unless stated otherwise, e.g., refurbished).
- Prohibited products (illegal, counterfeit, or restricted items) are not allowed. Any violation may lead to account termination.
- Ayocom reserves the right to review, approve, or remove product listings.
3. Pricing & Commission
- Vendors set their own product prices.
- Ayocom charges a 10% commission per sale, deducted automatically before payouts.
- Commission rates may be revised with prior notice to vendors.
4. Order Fulfillment & Delivery
- Vendors must fulfill and ship orders within the agreed timeframe.
- Late dispatch or repeated delays may lead to penalties, reduced visibility, or suspension.
- Products must be packaged securely to avoid damage during delivery.
- Vendors agree to comply with Ayocom’s shipping and logistics policies.
5. Returns, Refunds & Cancellations
- Vendors must accept returns and refunds in accordance with Ayocom’s Return Policy.
- If a product is returned due to defect, damage, or misrepresentation, the vendor bears the cost.
- In cases of refund, commission charged will be reversed.
6. Payment & Payouts
- Vendor payouts will be processed weekly or monthly, depending on sales volume and agreement.
- Payments will be made via bank transfer or other secure channels.
- Only completed and non-returned sales will be paid out.
7. Vendor Responsibilities
- Maintain high product quality and excellent customer service.
- Respond to customer inquiries promptly (through Ayocom’s system).
- Ensure compliance with UAE and Nigeria laws on e-commerce, consumer protection, and product safety.
- Keep account information (pricing, stock, and contact details) updated.
8. Customer Information & Privacy
- Vendors will not have direct access to customer contacts or personal details.
- All customer information (emails, phone numbers, addresses) will remain the sole property of Ayocom.
- Communication with customers will be managed through Ayocom’s platform to protect privacy and ensure quality service.
9. Marketing & Promotions
- Ayocom may feature vendor products in promotional campaigns at no extra cost unless otherwise agreed.
- Vendors may participate in platform-wide sales, discounts, or campaigns.
10. Account Suspension & Termination
Ayocom reserves the right to suspend or terminate vendor accounts in the event of:
- Sale of prohibited/counterfeit products.
- Repeated customer complaints or poor performance.
- Fraudulent activities or violation of this Agreement.
11. Limitation of Liability
- Ayocom acts only as a platform connecting vendors with customers.
- Vendors are solely responsible for their products, warranties, and compliance.
- Ayocom shall not be held liable for disputes between vendors and customers, except as required by law.
12. Governing Law
This Agreement is governed by the laws of the United Arab Emirates for UAE operations and the Federal Republic of Nigeria for Nigerian operations.
13. Acceptance of Terms
By registering and selling on Ayocom, you acknowledge that you have read, understood, and agreed to these Terms & Conditions.
